Terms of Service

These Terms of Service ("Agreement" or "Terms") constitute a legally binding agreement between EdgeComet Inc., a Delaware corporation ("EdgeComet," "we," "us," or "our"), and the entity or individual accessing or using the EdgeComet platform ("Customer," "you," or "your").

By accessing or using the EdgeComet platform, you represent that you have read, understood, and agree to be bound by these terms. If you do not agree, you may not access or use the service.

EdgeComet is designed and intended as a business-to-business (B2B) service. By registering for an account, you represent that you are entering into this Agreement on behalf of a business entity and that you have the authority to bind that entity.

Definitions

As used in this Agreement:

Description of Service

1.1. EdgeComet is an SEO infrastructure platform that operates as a reverse proxy between a Customer's website and search engine and AI bot traffic. The Service intercepts requests from identified bots and serves optimized responses through the following core modules:

1.2 The Customer configures DNS or reverse proxy rules to route Bot Traffic through EdgeComet. EdgeComet detects bots by User-Agent pattern. Bot requests are served from cache or rendered via headless Chrome and cached. Human Visitor Traffic passes through transparently to the Customer's origin server – EdgeComet does not process Human Visitor Traffic. If EdgeComet is unavailable, all traffic (bot and human) passes through to origin; EdgeComet is designed not to be a single point of failure.

1.3 EdgeComet provides an optional JavaScript file that Customers may install on their website. This file applies Edge SEO modifications to human visitors in the browser, consistent with modifications applied to bots by the proxy. This file is self-contained, makes zero requests back to EdgeComet servers, and collects no data about human visitors. Installation is optional and only relevant for Customers using the Edge SEO module.

Service Editions

2. Accounts and Eligibility

2.1 You must be at least 18 years of age to use the Service. The Service is intended for business use. By creating an account, you represent and warrant that (a) you are at least 18 years old; (b) you have the authority to enter into this Agreement on behalf of your organization; and (c) your use of the Service will comply with all applicable laws and regulations.

EdgeComet does not provide Service to individuals or entities located in countries subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), including Iran, North Korea, Cuba, Russia, Syria, and any other sanctioned territories as updated from time to time under applicable U.S. law. By creating an account, you represent that you are not located in, and are not a national or resident of, any such country.

2.2 Competitors are prohibited from accessing or using the Service for any purpose, including evaluation, benchmarking, or competitive intelligence gathering. For purposes of this restriction, "Competitor" means any entity that provides or is developing: (a) bot traffic rendering or caching services; (b) Edge SEO or server-side SEO modification tools; (c) SEO monitoring, auditing, or infrastructure platforms; or (d) any substantially similar service to EdgeComet. Violation of this restriction is grounds for immediate termination without notice.

2.3 To access the Service, you must register for an account by providing: first name, last name, email address, and at least one website URL. You agree to provide accurate, current, and complete information and to maintain and update such information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.4 You agree to notify EdgeComet immediately of any unauthorized use of your account or any other breach of security. EdgeComet will not be liable for any losses or damages arising from unauthorized use of your account where you have failed to maintain appropriate credential security.

3. Free Trial

3.1. EdgeComet offers a 14-day free trial with full platform access to all modules, including JavaScript Rendering and Edge SEO, with no credit card required.

3.2. At the end of the trial period, your account will be blocked and the Service will stop serving traffic unless you upgrade to a paid plan. All account data (Edge SEO rules, alert configurations, log history, and cached content) will be retained for 30 days following trial expiration, after which it will be permanently deleted.

IMPORTANT – PROXY INTEGRATION RESPONSIBILITY: If you configure your DNS or reverse proxy to route traffic through EdgeComet during the trial, you are solely responsible for removing that integration at or before the end of the trial period. If you fail to remove the integration after your account is blocked, Bot Traffic routed to EdgeComet will not be served, which may result in disruption to your website's bot traffic. EdgeComet bears no liability for any such disruption. See Section 12 (Liability) for further details.

4. Billing, Payment, and Refunds

4.1 Current pricing for all subscription plans is available at: https://edgecomet.com/pricing

EdgeComet reserves the right to update pricing, plan structures, and included features from time to time. Any such changes will be reflected on the pricing page and will not require modification of these Terms.

For existing Customers, pricing changes will take effect at the start of the next billing cycle unless otherwise agreed in writing.

4.2 Subscription plans are priced based on Googlebot requests per month. All other bot types (Bingbot, GPTBot, ClaudeBot, PerplexityBot, Applebot, Amazonbot, and similar crawlers) are processed at no additional charge. EdgeComet will send alerts when usage reaches 80% and 100% of your plan quota. If you exceed your plan quota, the Service continues without interruption. Overage charges will be billed at the end of the applicable billing cycle.

4.3 You may upgrade or downgrade your plan at any time. Plan changes take effect at the start of the next billing cycle.

4.4 All payment processing is handled by Stripe, Inc. EdgeComet does not store credit card or payment information directly. By providing payment information, you agree to Stripe's applicable terms of service. No payment information is collected at signup or during the free trial period.

4.5 Stripe Requirements

Customer acknowledges that payment processing is provided by Stripe and is subject to Stripe’s applicable terms, policies, and compliance requirements, including Stripe’s prohibited and restricted businesses rules.

Customer agrees not to use the Service in connection with any business, website, content, transaction, or activity that would cause EdgeComet or Customer to violate Stripe’s applicable rules, including Stripe’s prohibited and restricted businesses list, sanctions requirements, or payment network rules.

EdgeComet may suspend or terminate access to the Service, refuse payment, cancel a subscription, or disable billing where required to comply with Stripe’s requirements, payment network rules, applicable law, or risk/compliance determinations.

4.6 Refund Policy

ALL FEES ARE NON-REFUNDABLE. The 14-day free trial is provided as the evaluation period, and no refunds will be issued once a paid subscription commences. EdgeComet may, in its sole discretion, issue goodwill refunds in exceptional circumstances, but has no obligation to do so.

5. Cancellation and data retention

5.1. Paying customers may cancel their subscription at any time. Cancellation takes effect at the end of the current billing period; no partial-period refunds will be issued.

5.2. Following trial expiration or paid account cancellation, all Customer account data – including Edge SEO rules, alert configurations, log history, and cached content – will be retained for 30 days to allow for potential reactivation. After the 30-day retention window, all data will be permanently and irreversibly deleted.

5.3. Customers are solely responsible for exporting or preserving any data they wish to retain prior to account closure or the end of the 30-day retention window.

5.4 Annual Plans. For subscriptions purchased on an annual basis, the commitment is non-cancellable during the active subscription term. Annual plans are prepaid and non-refundable, and cannot be terminated prior to the end of the agreed subscription period, except as expressly provided in these Terms or required by applicable law.

6. Data collection and processing

6.1 EdgeComet collects the following account data at signup: first name, last name, email address, and website URL(s). Dashboard usage, configurations, Edge SEO rules, and alert settings are also stored as part of account data. Payment information is processed and stored solely by Stripe.

6.2 EdgeComet processes publicly available website content and related technical, analytical, and SEO data to deliver, maintain, and continuously improve the Service, including but not limited to: title tags, meta descriptions, headings, canonical URLs, meta robots directives, structured data, hreflang annotations, Open Graph and Twitter Card tags, internal and external link structures, image metadata (including alt text), HTTP status codes, redirect chains, page rendering characteristics (including render time and page weight), and bot request metadata.

Such data is collected solely from publicly accessible web pages and interactions initiated by automated crawlers (Bot Traffic). EdgeComet does not access or attempt to access content behind authentication layers, paywalls, restricted access controls, or private environments.

EdgeComet may process, transform, cache, analyze, and generate derivative data from such publicly available content as necessary to operate and improve the Service, provided that such processing does not involve identification of natural persons or the creation of user profiles.

6.3 EdgeComet is not designed to process Human Visitor Traffic as part of its core functionality.

However, limited technical processing of Human Visitor Traffic may occur at the infrastructure level (such as routing, connection handling, and security filtering). Such processing is transient, automated, and not used to identify individuals, build profiles, or deliver the Service’s core functionality.

Human visitors pass through directly to the Customer's origin server. The optional Edge SEO JavaScript File, if installed on the Customer's website, is self-contained, makes no requests to EdgeComet servers, and collects no visitor data whatsoever.

Such technical processing does not constitute monitoring of user behavior, profiling, or tracking of individual users, and is performed solely for infrastructure-level functionality.

6.4 Data Retention by Tier

6.5 Customers may choose their data processing region. European Union customers may elect to have all data processed and stored within European data centers, supporting GDPR data residency requirements.

7. Intellectual Property

7.1 EdgeComet retains all right, title, and interest in and to the Service, the Platform, and all associated technology, software, algorithms, interfaces, and documentation, including all intellectual property rights therein. These Terms do not grant you any rights to EdgeComet's intellectual property except as expressly set forth herein.

7.2 You retain full ownership of all Customer Content you create within the Service, including Edge SEO rules, alert configurations, and dashboard settings. You grant EdgeComet a limited, non-exclusive license to use Customer Content solely to provide and improve the Service for your benefit. EdgeComet will not use Customer Content for model training, anonymized reuse, publication, or any other secondary purpose.

7.3 EdgeComet caches and renders publicly available website content as part of delivering the Service. EdgeComet claims no ownership or rights over your website content. Service Data derived from your website is used solely to provide the Service.

7.4 EdgeComet reserves the right to display your company name and logo on its website, marketing materials, and case studies to identify you as a customer. You may opt out of this usage at any time by sending a written request to [email protected]. EdgeComet will remove your logo within a commercially reasonable time following receipt of your opt-out request.

7.5 Certain EdgeComet components are published on GitHub under the Apache 2.0 license. All such components are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Use of these open-source components is at your own risk and is governed solely by the applicable open-source license terms, and not by this Agreement.

The open-source edition does not include the managed dashboard, AI features, alerting, Edge SEO, or Log Analyzer modules.

8. Acceptable use policy

8.1 You agree not to use the Service in connection with, or on behalf of, websites or activities involving:

• Illegal content or activity of any kind
• Adult, pornographic, or sexually explicit content
• Gambling services where prohibited by applicable law
• Content promoting violence, hatred, or discrimination against any individual or group
• Malware distribution, hosting, or propagation
• Phishing, fraud, or deceptive practices
• Content that infringes the intellectual property rights of third parties
• Any use that violates applicable laws or regulations in any jurisdiction
• Any business, website, content, transaction, or activity prohibited or restricted by Stripe’s applicable rules, payment network rules, or sanctions compliance requirements.

8.2 EdgeComet reserves the right to enforce this Acceptable Use Policy using a two-tier system:

Immediate Termination (no notice or cure period required): EdgeComet may suspend or terminate your account immediately and without notice for: (a) illegal activity including malware, phishing, or fraud; (b) activity threatening the stability, security, or integrity of the Platform; or (c) activity creating legal liability for EdgeComet.

Notice and Cure: For all other violations, EdgeComet will provide written notice specifying the violation and a cure period of 7 to 30 days (as determined by EdgeComet based on the nature and severity of the violation). If the violation is not remedied within the applicable cure period, EdgeComet may suspend or terminate your account.

8.3 Configuration Responsibility

Customer is responsible for testing and validating all Edge SEO rules and configuration changes prior to deployment.

EdgeComet may provide testing, preview, or rollback mechanisms where available, but does not guarantee their availability, accuracy, or effectiveness.

Customer assumes all risks associated with the deployment of configuration changes, including any resulting impact on website functionality, content delivery, or search engine performance.

9. Uptime and service level Agreement

9.1 EdgeComet provides the Service on a best-efforts basis for Professional and Business plan customers. No uptime guarantee, SLA, or service credits are provided for self-serve plans.

9.2 Enterprise customers are entitled to a 99.9% monthly uptime guarantee for the EdgeComet gateway (approximately 43 minutes of permitted downtime per month), as measured by the gateway's ability to serve or pass through traffic. Dashboard unavailability and non-critical feature degradation do not count toward downtime calculations.

Service credits for Enterprise customers who experience uptime below the guaranteed threshold:

Credits are capped at 50% of one month's fee and constitute the sole and exclusive remedy for service unavailability. No cash refunds or liability for indirect or consequential damages will be provided in connection with service outages. Credit requests must be submitted within 30 days of the relevant incident.

9.3 EdgeComet is architected to pass traffic through to the Customer's origin server if the Service is unavailable. If EdgeComet experiences an outage, Human Visitor Traffic will be unaffected. Bot Traffic may be disrupted. This risk is inherent in the proxy integration architecture and is acknowledged by Customer as part of the Service.

10. Limitation of Liability

10.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDGECOMET'S TOTAL AGGREGATE LIABILITY TO CUSTOMER FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY CUSTOMER TO EDGECOMET IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

10.2 IN NO EVENT SHALL EDGECOMET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF EDGECOMET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Without limiting the foregoing, EdgeComet expressly excludes liability for:

· Proxy Integration Disruption: Any website disruption arising from the Customer's proxy integration (DNS or routing configuration), including misconfiguration or failure to remove the integration upon account closure or trial expiration. The Customer is solely responsible for the correct configuration, maintenance, and removal of the proxy integration.

· Edge SEO Modifications: Any SEO damage, ranking loss, traffic loss, or website issues resulting from Edge SEO rules created, tested, or published by the Customer. The Customer has full control over rule creation, testing, and deployment.

· SEO and Search Engine Risks: Customer acknowledges that the Service may modify, optimize, or serve different content to bots compared to human visitors depending on Customer configurations.

Customer is solely responsible for ensuring that such use complies with all applicable search engine guidelines and policies, including those relating to cloaking, content parity, and search manipulation.

EdgeComet shall not be liable for any search engine penalties, ranking loss, de-indexing, traffic loss, or other adverse SEO or discoverability consequences resulting from the use of the Service.

· Post-Closure Disruption: Any disruption to Bot Traffic caused by the Customer's failure to remove the proxy integration after trial expiration or account cancellation.

· Third-Party Platforms: EdgeComet shall not be responsible for the actions, policies, algorithms, or decisions of third-party platforms, including search engines and AI systems, or for any impact such platforms may have on Customer’s website, traffic, indexing, or visibility.

· Open-Source Components: Any use, modification, or deployment of EdgeComet open-source components is performed at Customer’s own risk. EdgeComet shall have no liability for any damages, losses, or issues arising from the use of such components outside of the managed Service.

11. Disclaimer of Warranties

11.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EDGECOMET DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

EdgeComet does not warrant that the Service will be uninterrupted, error-free, or free of harmful components; that any specific SEO outcome, ranking improvement, or crawl budget optimization will be achieved; or that the Service will meet your specific requirements.

11.2 You agree to defend, indemnify, and hold harmless EdgeComet and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your website content or Customer Content; (d) your proxy integration configuration or removal; or (e) your violation of any applicable law or the rights of any third party.

12. Termination

12.1 You may terminate your account at any time through the dashboard or by contacting support. Termination takes effect at the end of the current billing period. No refunds are provided for unused portions of a billing period.

12.2 EdgeComet may suspend or terminate your access to the Service: (a) immediately for violations described in Section 8.2 (immediate termination); (b) upon notice and expiration of a cure period for other violations; (c) upon 30 days' written notice for any reason if EdgeComet discontinues the Service; or (d) immediately upon discovery of a violation of the Competitor Restriction in Section 2.2.

12.3 Upon termination: (a) your right to access and use the Service immediately ceases; (b) you must promptly remove all proxy integrations; (c) EdgeComet will retain your account data for 30 days, after which it will be permanently deleted; and (d) all provisions of these Terms that by their nature should survive termination (including ownership, indemnification, disclaimers, and limitation of liability) shall survive.

13. Geographic restrictions

EdgeComet does not offer or provide the Service to customers located in, or nationals or residents of, countries subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC) or other applicable U.S. export control laws. As a Delaware-incorporated company, EdgeComet complies with all applicable U.S. export control and sanctions regulations. Current sanctioned jurisdictions include Iran, North Korea, Cuba, Russia, Syria, and others as updated by applicable law.

By using the Service, you represent and warrant that you are not located in, or a national or resident of, any sanctioned country, and that you are not on any U.S. government prohibited persons or entities list.

14. Governing Law and dispute resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

15. Changes to these Terms

EdgeComet reserves the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days prior to the effective date of the changes. Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue your use of the Service.

16. Miscellaneous

16.1 Entire Agreement

This Agreement, together with the Privacy Policy, Cookie Policy, and any applicable Enterprise Order Form or SLA Schedule, constitutes the entire agreement between you and EdgeComet regarding the Service and supersedes all prior or contemporaneous agreements, understandings, and negotiations.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16.3 Waiver

EdgeComet's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without EdgeComet's prior written consent. EdgeComet may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.

16.5 Notices

Legal notices to EdgeComet should be sent to: EdgeComet Inc., 1401 Pennsylvania Ave Suite 105 #6227 Wilmington​, DE​, 19806, Attention: Legal Department, or by email to [email protected]. EdgeComet will send notices to you at the email address associated with your account.

16.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

16.7 Force Majeure

Neither party will be liable for any delay or failure in performance resulting from causes beyond their reasonable control, including acts of God, natural disasters, war, government actions, internet or telecommunications failures, or cyber-attacks.
